These Terms of Trade govern the relationship between SYG International B.V. and clients who engage our trade intermediary services. Please read them carefully before entering into any mandate with us.
1. Company Details
These Terms of Trade are issued by SYG International B.V., registered in the Netherlands (KVK: XXXXXXXX). All services described herein are provided by SYG Group acting as a trade intermediary between buyers and sellers. We do not manufacture, warehouse, or take title to goods unless explicitly agreed in writing.
2. Scope of Services
SYG Group acts as an independent trade intermediary. Our services include identification of suitable buyers or sellers, facilitation of commercial negotiations, preparation and coordination of trade documentation, and oversight of logistics arrangements. We do not guarantee the performance of any third party, including manufacturers, freight forwarders, or customs brokers.
3. Engagement and Mandates
Each engagement is governed by a separate mandate or letter of engagement agreed in writing between SYG Group and the client. No trade activity will commence until a written mandate is in place. Oral agreements or informal communications do not constitute a binding mandate.
4. Client Obligations
Clients are responsible for providing accurate and complete information regarding the goods, required specifications, applicable regulations, and any import or export restrictions in their jurisdiction. SYG Group shall not be held liable for delays, regulatory failures, or losses arising from inaccurate or incomplete information provided by the client.
5. Fees and Payment
SYG Group's fees are agreed in the relevant mandate and are typically structured as a commission on the transaction value, a retainer, or a fixed project fee. Fees are payable in accordance with the payment schedule in the mandate. Late payments accrue interest at the statutory Dutch commercial rate. All fees are exclusive of VAT where applicable.
6. Confidentiality
Both parties agree to keep confidential all information disclosed in connection with an engagement, including the identities of counterparties, pricing, and commercial terms. This obligation survives the termination of any mandate for a period of three years. Neither party shall use confidential information for any purpose other than the performance of the agreed engagement.
7. Limitation of Liability
SYG Group's total liability in connection with any engagement shall not exceed the fees paid by the client in the three months prior to the event giving rise to the claim. We are not liable for indirect, consequential, or economic losses, including loss of profit, loss of contract, or loss of anticipated savings. Nothing in these terms limits liability for fraud or wilful misconduct.
8. Compliance and Sanctions
SYG Group operates in compliance with applicable international trade regulations, including EU export controls and sanctions regimes. We reserve the right to decline or terminate any engagement where compliance cannot be confirmed. Clients warrant that the goods and transactions they bring to us are lawful in all relevant jurisdictions.
9. Governing Law and Disputes
These Terms of Trade are governed by the laws of the Netherlands. Any dispute arising out of or in connection with these terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by the competent court in Amsterdam, the Netherlands.
10. Amendments
SYG Group may amend these Terms of Trade at any time. The version in force at the time of engagement governs that engagement. Clients are encouraged to review these terms periodically. Continued use of our services after any amendment constitutes acceptance.
